Write your mission statement

A clear, specific statement of what your organization does, who it serves, and what impact it will have.

Choose and verify your organization name

Check availability with your state's Secretary of State business name database.

Recruit board members

Most states require at least 3 directors. You need a President/Chair, Secretary, and Treasurer.

Draft your bylaws

Internal operating rules covering board structure, officer roles, meeting requirements, conflict of interest policy, and dissolution clause.

Prepare articles of incorporation

Must include IRS-required purpose clause and dissolution clause. Some states provide a template.

File articles of incorporation with your state

Filing fees range from $0 to $125+ depending on your state.

Apply for your EIN

Free and instant online at IRS.gov (Mon-Fri, 7am-10pm ET). You need your articles of incorporation first.

Open a bank account

Bring your articles of incorporation, EIN confirmation letter, and a board resolution authorizing the account.

File IRS Form 1023 or 1023-EZ

Form 1023-EZ: $275, 2-4 week approval (under $50K/year). Full Form 1023: $600, 3-6 months.

Set up donor management

Set your Form 990 deadline

Due on the 15th day of the 5th month after your fiscal year ends (May 15 for calendar-year orgs). Miss 3 consecutive years = automatic revocation.
