Using this template.
Send the agenda and supporting packet before the meeting so directors can read the reports in advance and focus meeting time on questions and decisions. Replace every bracketed field in the file and delete any section your board will not use at that session.
This file is the agenda for the meeting. The minutes are a separate governance record prepared by the secretary and approved by the board at a later meeting. Keep the agenda with the packet, and record actual attendance, recusals, and vote outcomes in the minutes rather than treating the agenda as proof of what happened.
Your organization's bylaws and applicable state law control meeting notice, how directors may participate, what counts as a quorum, and what vote is needed for a motion to pass. The template leaves those rules to your bylaws instead of inventing a headcount or declaring a motion approved before a vote is taken.
In the finance section, keep the "Management figures" label unless your accountant directs another description, and report net assets without donor restrictions and net assets with donor restrictions on separate lines. An agenda summary is a snapshot for discussion, not a statement of activities and not Form 990.
When the board enters an optional executive session, record only what your bylaws and counsel say belongs in the minutes. This resource is educational only and is not legal, tax, or accounting advice.
